Advisory Firm TPI Acquired By ISG
On April 24, 2007, TPI and Information Services Group (ISG; AMEX: III) announced the signing of a definitive agreement through which ISG will acquire TPI. This acquisition is subject to customary regulatory and ISG shareholder approvals and is expected to be concluded in the fourth quarter of 2007.
ISG is a “blank-check” acquisition company founded in 2006 to build a high-growth industry-leading information services company through acquisitions. More specifically, it is a Special Purpose Acquisition Company (SPAC), which is essentially a company that uses the public equity market to raise funds to acquire one or more domestic or international operating businesses. As the first company to be acquired by ISG, TPI will provide the foundation in building a broad information-services group that helps companies improve their market positions and profitability. It is ISG’s intention that there will be future acquisitions to complement TPI’s services, creating a broadened portfolio of offerings.
Both TPI and ISG leadership believe that this is an ideal partnership. As part of its capitalization strategy, TPI knew it needed to consider an equity event in 2007, having met all of the goals associated with its current relationship with Monitor Clipper Partners (MCP). TPI agreed to the acquisition by ISG because: 1) ISG is a strong partner with which to grow; 2) ISG has the ability to supplement our strengths and service offerings; 3) ISG possesses the financial strength available to thrive and sustain our company; and 4) the combination will sustain the TPI culture and mission.
This is a significant step in TPI’s growth – but their focus remains on their clients.TPI will have a core team dedicated to the transaction and, therefore, it will not pose a distraction to the services they offer clients or day-to-day operations.
