Our speaker, long-time IACCM member and part-time law professor D.C. Toedt (the last name is pronounced "Tate"), is developing the Tango Terms Master Agreement to serve as public, annotated, incorporate-by-reference terms for common business contracts, to help companies jump-start their dealings together as well as to provide newcomers with a resource for understanding how contracts work.
Companies often need standard-type contracts such as NDAs, services agreements, referral-commission agreements, channel-partnership agreements, and the like. Too often, the parties' dealings are delayed by the need to draft and negotiate contract legalese. (And some small businesses surely enter into suboptimal contracts because they can't afford professional advice.) With the Tango Terms, companies can instead elect to sign a short-form contract that adopts the Tango Terms Master NDA, the Tango Terms Master Referral Agreement, etc., or just the Tango Terms Master Agreement as a whole.
The Tango Terms Master Agreement features (i) baseline terms — written in a readable question-and-answer format — to support sensible business operations, together with (ii) playbook-style options and (iii) extensive footnotes to help newcomers and seasoned professionals alike. The initial release addresses matters such as confidential information; limitations of liability; letters of intent; provision of services; order fulfilment; software- and IP licensing; payments; guarantees; dispute management; general provisions; a glossary of standard defined terms; and more.
The author has long used the Tango Terms materials in his law-school classes and his law practice. He plans to make each successive version permanently available online as a free PDF download, in part to help startups and small businesses to get workable contracts to signature sooner at a lower cost.
