Tyco/Quislex partnership leads to award-winning compliance

Responding to US legislation, Tyco International (US) Inc needed to streamline all its existing policies and procedures for engaging with third parties. This massive, highly complex task also needed to be done quickly.

With Quislex as Tyco's Legal Process Outsourcing (LPO) partner – and with the “in-it-together” quality of the partnership they developed - this daunting task became an award winning compliance program which Quislex continues to manage for Tyco.

Challenge

In 2009, as a result of a US Department of Justice Foreign Corrupt Practices Act (“FCPA”) investigation and its own internal investigation, Tyco International (US) Inc. needed to streamline and address its existing policies and procedures for engaging with third parties. This massive, highly complex task meant analyzing thousands of documents concerning more than 15,000 third parties representing multiple legal jurisdictions and languages. It also needed to be done quickly – external help was clearly needed

Approach

Given the logistical realities Tyco realized they needed external support and selected QuisLex as its Legal Process Outsourcing (LPO) partner to implement and manage its contracts and compliance requirements. A select team of attorneys, contract administrators, and data management experts identified procedures that would optimize results. As well as document collection and analysis, several key phases needed to be managed in parallel. These included designing workflow and building the required infrastructure to create new documentation in accordance with Tyco's new policies and 'go-forward' contract life cycle. The Quislex team varied in size from 12 to more than 200.

Results achieved

QuisLex has helped Tyco to create and implement what has become an international award winning compliance program with exceptional volume requirements and complexity As a result of its efforts, and the “in-it-together” quality of the Tyco partnership QuisLex has also led the implementation of new contracting practices and supported drafting, negotiation and execution of more than 10,000 agreements in English, German, Italian, French, Spanish and Portuguese on schedule and within budget constraints. Six Sigma discipline is now an integral part of the contracting process. (Six Sigma is a set of techniques and tools for process improvement.)

Success is measured not only in completing the short-term remediation goals (examining, revising and executing contracts), but in successfully constructing and maintaining the long-term contact management and compliance program Quislex continues to manage for Tyco. The diligence of both parties in establishing process rigor at the outset has created an internationally-recognized compliance program.
